1. Account Opening: By opening a B2B account with our company, you agree to provide accurate and complete information during the application process. We reserve the right to reject any application that contains false or misleading information.
2. Payment Terms: All B2B transactions are subject to payment terms agreed upon by the customer and the Invertec Canada Ltd. Payment is due upon receipt of invoice unless other payment arrangements have been agreed upon.
3. Order Acceptance: The Invertec Canada Ltd. reserves the right to accept or reject any order placed by a B2B customer at its sole discretion. Orders are not binding until they are accepted by the company. The company reserves the right to cancel any accepted order if the customer breaches any of the terms and conditions outlined herein.
4. Delivery: The Invertec Canada Ltd. will make reasonable efforts to deliver all products and services to B2B customers in a timely manner. Delivery times are estimates only and may vary depending on product availability and other factors beyond the company’s control. The customer is responsible for inspecting all products upon receipt and reporting any damage or defects to the company within 48 hours of delivery.
5. Returns and Refunds: We accept returns of parts that have been incorrectly shipped or defective, as long as they are returned within a reasonable period and in their original condition. Refunds will be processed after the returned parts have been received and inspected.
6. Warranty: The Invertec Canada Ltd. warrants that all products and services provided to B2B customers will be free from defects in materials and workmanship for a period of 3 months from the date of delivery. This warranty is exclusive and in lieu of all other warranties, express or implied. The customer’s sole remedy for any breach of this warranty is repair or replacement of the defective product or service.
7. Limitation of Liability: The Invertec Canada Ltd. liability to B2B customers for any and all claims arising out of or in connection with the sale or provision of products or services shall be limited to the price paid by the customer for such products or services. The Invertec Canada Ltd. shall not be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the sale or provision of products or services.
8. Minimum Order Quantity: A minimum order quantity may apply for certain products. This will be communicated to the customer before placing the order.
9. Intellectual Property: All intellectual property rights in relation to the products are owned by the manufacturer. The customer agrees not to reproduce, modify or distribute any of the products without the manufacturer’s permission.
10. Confidentiality: The customer agrees to keep confidential any information provided by the manufacturer, including but not limited to pricing, product specifications and designs.
